Terms of Service
The terms governing access to and use of the Bremanco Growth LTD website and services.
Last updated: October 2026
1. Introduction
Welcome to Bremanco Growth LTD ("Bremanco," "we," "our," or "us").
These Terms of Service govern your access to and use of our website, communications, and services.
Bremanco Growth LTD provides e-commerce and digital commerce services that may include Shopify store development and optimization, TikTok Shop integration, conversion rate optimization, e-commerce growth strategy, marketing support, analytics, and related consulting services.
By accessing our website or engaging our services, you agree to these Terms to the extent applicable to your interaction with us. If you do not agree with these Terms, please discontinue use of the website.
2. Eligibility and Business Use
You may use our website only for lawful purposes.
If you engage our services on behalf of a company or another organization, you confirm that you have the authority to represent that organization and enter into the relevant agreement.
You agree not to use our website or services for unlawful activities, fraud, infringement of third-party rights, or any purpose prohibited by applicable law.
3. Website Information
We aim to provide accurate, useful, and up-to-date information about our business and services.
However, website content is provided for general informational purposes. Descriptions, examples, case studies, and general recommendations may not reflect every client's circumstances or guarantee a particular outcome.
We may correct, update, or remove website content at any time.
Any published performance statistics or client results should be understood in the context in which they are presented and should not be interpreted as a promise that every client will achieve the same outcome.
4. Our Services
The scope of our services depends on the specific project, proposal, statement of work, or written agreement between Bremanco and the client.
Depending on the engagement, services may include:
- Shopify store setup, development, and optimization.
- TikTok Shop integration and operational support.
- E-commerce conversion rate optimization.
- Customer journey and sales funnel improvements.
- Marketing strategy and automation.
- Product presentation and store content improvements.
- E-commerce analytics and growth consulting.
- Related digital commerce services agreed upon by the parties.
We reserve the right to determine the appropriate methods and workflows for delivering our services, provided that we comply with the applicable agreement.
A request for information, consultation, audit, or proposal does not automatically create a client relationship or guarantee that we will accept the project.
5. Project Scope and Client Agreements
Before commencing a paid engagement, the parties should agree in writing on the relevant scope of work, responsibilities, deliverables, timelines, payment arrangements, and any applicable performance-based terms.
The written agreement may be a signed contract, accepted proposal, statement of work, or another documented agreement accepted by both parties.
Any project-specific agreement will govern the details of that engagement. If there is a conflict between these website Terms and a separately executed agreement, the project-specific agreement will take precedence for the conflicting matter.
Changes to the agreed scope may require a revised timeline, additional resources, or a separate written agreement.
We are not responsible for work that falls outside the agreed scope unless the parties agree otherwise in writing.
6. Client Responsibilities
Clients agree to:
- Provide accurate and complete information relevant to the project.
- Supply required content, product information, brand assets, and approvals in a timely manner.
- Ensure they have the necessary rights and permissions to provide materials to us.
- Provide appropriate access to relevant platforms and accounts where necessary.
- Maintain control of their accounts and protect their login credentials.
- Review deliverables and provide feedback within agreed timeframes.
- Ensure that their products, business operations, advertising claims, and commercial activities comply with applicable laws and platform policies.
- Notify us of material changes that may affect the project.
Delays caused by missing information, approvals, access, or client decisions may affect delivery timelines.
Clients should grant only the level of access necessary for the agreed work and revoke unnecessary access when the engagement ends.
7. Fees and Payment Arrangements
Fees, payment schedules, deposits, recurring charges, commissions, revenue-sharing arrangements, and any other commercial terms will be established in the applicable written agreement.
These Terms do not establish a universal service fee or payment structure for all engagements.
Unless otherwise agreed in writing, clients remain responsible for third-party costs associated with their businesses, including platform subscriptions, applications, advertising spend, payment processing, shipping, inventory, and other external services.
Where a payment arrangement includes performance-based compensation, the applicable agreement should specify how performance is measured, which data sources are used, the calculation method, payment dates, exclusions, and any other relevant conditions.
No additional fee or change to agreed compensation will apply unless authorized under the applicable agreement.
8. Timelines, Deliverables, and Revisions
Project timelines depend on the scope of work, access to necessary resources, client responsiveness, third-party services, and other relevant circumstances.
We will make reasonable efforts to meet agreed deadlines but cannot guarantee a specific completion date where circumstances outside our reasonable control affect delivery.
Deliverables, revision limits, approval procedures, and acceptance criteria will be determined by the applicable project agreement.
Any requested work outside the agreed scope may require separate written approval.
9. No Guarantee of Business Results
E-commerce performance depends on multiple factors, including product quality, pricing, demand, competition, inventory, fulfillment, customer service, advertising budgets, platform policies, economic conditions, and client implementation.
Although we may use professional methods and data-informed strategies to improve performance, we do not guarantee specific sales figures, revenue, profits, traffic, conversion rates, rankings, customer acquisition costs, or other commercial outcomes unless an express written agreement specifically establishes an applicable commitment.
Past results, case studies, examples, and testimonials are not guarantees of future performance.
Clients remain responsible for their business decisions and the commercial results of their operations.
10. Third-Party Platforms and Services
Our work may involve third-party platforms such as Shopify, TikTok Shop, advertising networks, analytics providers, applications, payment processors, or other external services.
These platforms are operated independently of Bremanco and may change their policies, features, fees, eligibility requirements, or technical functionality.
We do not control the availability, decisions, policies, or actions of third-party providers.
Unless expressly agreed in writing, we are not responsible for platform suspensions, account restrictions, algorithm changes, policy decisions, service interruptions, or third-party actions beyond our reasonable control.
We will not knowingly assist a client in circumventing platform rules, misrepresenting identity, or engaging in unlawful activity.
11. Intellectual Property
A. Our Materials
Unless otherwise agreed in writing, Bremanco retains ownership of its pre-existing intellectual property, including internal methodologies, frameworks, templates, processes, know-how, and reusable tools.
Nothing in these Terms transfers ownership of our pre-existing materials to a client.
B. Client Materials
Clients retain ownership of materials they provide to us, subject to any rights or licenses necessary for us to perform the agreed services.
Clients represent that they have the necessary permissions to supply and authorize the use of those materials.
C. Project Deliverables
Ownership, licensing, and permitted use of project-specific deliverables will be determined by the applicable written agreement.
Where the agreement does not expressly address ownership, applicable law and the circumstances of the engagement will govern.
D. Website Content
Unless otherwise stated, the content on our website, including text, graphics, branding, layouts, and original materials, is owned by Bremanco or used under appropriate authorization.
You may not reproduce, distribute, commercially exploit, or create derivative works from protected website materials without prior written permission or another valid legal basis.
12. Confidentiality
Where we receive confidential business information during an engagement, we will take reasonable steps to protect it and use it only for legitimate purposes connected with the engagement, subject to the applicable agreement and law.
Confidential information does not include information that is publicly available through no breach of an obligation, was lawfully known before disclosure, is independently developed, or is lawfully received from another source without a confidentiality restriction.
Where disclosure is legally required, we may disclose the relevant information to the extent required by law.
Any additional confidentiality obligations should be documented in the applicable client agreement or nondisclosure agreement.
13. Portfolio and Case Studies
We may request permission to reference completed projects, client feedback, or project outcomes in our portfolio or marketing materials.
We will not interpret access to a client's store or project materials as automatic permission to publish confidential information or identify the client publicly.
Any client-specific restrictions, approvals, and confidentiality obligations will be governed by the applicable written agreement and relevant law.
14. Acceptable Use
You agree not to:
- Use our website for unlawful, fraudulent, or deceptive purposes.
- Attempt unauthorized access to our systems, accounts, or infrastructure.
- Interfere with the security or operation of our website.
- Introduce malicious code or harmful software.
- Scrape, copy, or exploit protected content in violation of applicable law.
- Impersonate another person or misrepresent your affiliation.
- Submit false information or materials that infringe third-party rights.
- Use our services to facilitate unlawful business activities or platform-policy violations.
We may take reasonable steps to protect our website and business against misuse, subject to applicable law.
15. Privacy and Personal Information
Our collection and handling of personal information are described in our Privacy Policy.
By using our website, you acknowledge that you have been given the opportunity to review that policy.
Where consent is legally required for specific processing activities, the appropriate consent will be requested separately.
16. Suspension and Termination
Either party may terminate a project in accordance with the termination provisions of the applicable written agreement.
If no project-specific termination terms exist, the parties should agree in writing on the termination arrangements, including outstanding work, payment obligations, access removal, and the handling of deliverables.
We may suspend access to our website or discontinue a particular website feature where reasonably necessary for maintenance, security, legal compliance, or protection against misuse.
Termination does not automatically eliminate payment obligations or other rights and liabilities that accrued before termination.
17. Disclaimers
To the extent permitted by applicable law, our website and general informational content are provided on an "as available" basis.
We do not warrant that the website will always be uninterrupted, error-free, completely secure, or compatible with every device or browser.
Nothing in these Terms excludes a warranty, right, or protection that cannot lawfully be excluded or limited.
18. Limitation of Liability
To the extent permitted by applicable law, Bremanco will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, anticipated savings, business opportunities, or data arising from website use or a service engagement.
Any liability arising from a specific project will be subject to the applicable written agreement and applicable law.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including any applicable liability for fraud or other liability that cannot legally be restricted.
19. Indemnification
To the extent permitted by applicable law, you may be responsible for losses, claims, or reasonable costs arising from your unlawful use of our website, your infringement of third-party rights, or your material breach of these Terms.
This provision does not apply to the extent that a claim results from our own conduct for which we are legally responsible, and it remains subject to applicable law.
20. Force Majeure
Neither party will be responsible for a delay or failure to perform an obligation to the extent it is caused by circumstances reasonably beyond that party's control, such as natural disasters, widespread outages, government actions, civil emergencies, or major third-party platform disruptions.
The affected party should notify the other party where reasonably practicable and take reasonable steps to reduce the impact.
This provision does not remove payment obligations that have already become due or any rights that cannot lawfully be excluded.
21. Governing Law and Dispute Resolution
These Terms are intended to be interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to any mandatory legal protections or rules that apply to a particular user or transaction.
The parties should first attempt to resolve disputes through good-faith discussions.
If a dispute cannot be resolved informally, it may be referred to a court or other dispute-resolution process with appropriate jurisdiction under applicable law.
Any project-specific agreement may contain additional dispute-resolution provisions.
22. Changes to These Terms
We may revise these Terms from time to time to reflect changes to our services, business operations, or legal requirements.
Updated Terms will be published on this page with a revised effective or update date.
Changes will apply as permitted by law. Where a change requires additional notice, consent, or agreement, we will follow the applicable requirements.
23. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
24. Entire Agreement
These Terms govern the general use of our website.
They do not replace a separate written agreement governing a specific project or service engagement. Any such agreement will govern the relevant project-specific terms in accordance with Section 5.
